This is the Terms of Service agreement for investorLYNX. Access to investorLYNX is on a user
(businesses) or member (investors and professionals) only basis. All investorLYNX users and members MUST read and accept every aspect of this and any other agreement or policy provided by investorLYNX. If users or members do not agree to these terms, they are prohibited from using investorLYNX or any affiliated services. investorLYNX reserves the right to modify this agreement at any time. Use of investorLYNX and affiliated services indicates a user's or member's unconditional acceptance of all changes made to this agreement at any point for any reason.
investorLYNX provides an information exchange platform to allow investors who are committed to funding business opportunities to independently connect with entrepreneurs of early and mid stage companies. No action or service provided by investorLYNX constitutes or implies the endorsement, recommendation, or appropriateness of a particular investment opportunity for any investor or entrepreneur. The ratings associated with business plans on investorLYNX are intended to be completeness ratings only and in no way constitute or imply the endorsement, recommendation, or appropriateness of a particular investment opportunity.
The users and members of investorLYNX succeed because of the quality of its users and members and some basic rules to which all users, members and visitors must adhere. investorLYNX reserves the right to deny service to any user or member at any time for violating these rules.
investorLYNX
investorLYNX allows professionals to connect with businesses, entrepreneurs, investors, and advisors. Users and members are expected to demonstrate professional decorum in using the site to connect with other professionals when looking for help with their business or seeking investment opportunities.
No Misrepresentation
Users and members are expected to be honest and forthright in representing themselves, their company, their transaction, their abilities, their qualifications, and their accredited standing. Likewise, users and members are expected to report any information or communications they consider misleading, or any users and members that appear to be misrepresenting themselves, their company, their transaction or their accreditation.
Information Submission
investorLYNX independently reviews information submitted by its users and members to verify the integrity of the information submitted to potential investors. On the basis of its review, investorLYNX can make no representation or warranty with respect to the viability of the information provided by applicant entrepreneurs. As a result, potential investors must conduct their own investigation of the merits and risks of each opportunity, and independently negotiate the terms of their investment. All investors are strongly encouraged to seek legal and other professional counsel prior to making such investments.
Company listings on this site are ONLY suitable for accredited investors who are familiar with and willing to accept the high risks associated with private investments. Investors who intend to utilize the investorLYNX site must be an accredited investor according to Rule 501 of Reg. D. (Please go to: www.sec.gov for the definition of an accredited investor.)
Securities Solicitation Policy
By posting on this site, users and members represent and agree that nothing contained herein constitutes an offer to sell or solicitation of an offer to buy any security, and that if any offer or sale of securities is deemed to have occurred by reason of a posting or listing on this site, such offer and sale is made solely to institutional or accredited investors as those terms are applicable under state and federal securities laws.
No Soliciting
Users are prohibited from "selling" to participating members upon first contact. The focus of this site is predicated upon an introduction that will encourage users and members to independently determine the value of products and services, and benefits provided.
Trademark Infringement
All names and logos associated with investorLYNX are trademarks of investorLYNX. Users and members may not use any investorLYNX trademarks in any manner without investorLYNX's express written consent. Additionally, users and members may not infringe on any patents, trademarks, or other copyrights of investorLYNX users, members or any other parties.
Conditions for Users and membership
For obvious legal reasons, investorLYNX or any affiliated services may not be used by persons under the age of 18. Users and members suspended or removed from the investorLYNX will not be permitted to return. User and member accounts may not be transferred. Users and members are prohibited from profiting from the transfer of their investorLYNX account to another party. If users and members do not meet these requirements, they are not eligible to use the investorLYNX.
Terms of Information Use
investorLYNX is authorized to use any information that is provided by investorLYNX users, members or affiliates. This information is used at no charge from the users and members and may be used for any purpose associated with investorLYNX, or any affiliates. All information that users and members posts on investorLYNX is strictly their responsibility. investorLYNX is not responsible for any misrepresentation of facts or other errors in user content. investorLYNX strives to ensure the integrity of the information on investorLYNX, but cannot guarantee the truthfulness of the information that each user provides. investorLYNX reserves the right to release any user or member information or other information if required to do so by law.
investorLYNX Contact System
investorLYNX has created a proprietary messaging system for users and members to communicate with one another and for investorLYNX to contact these users or members. Additionally, investorLYNX may communicate with its users or members via email or other forms of contact in the normal course of business. All users and members must agree not to abuse the investorLYNX contact system in any manner. Failure to comply with this requirement may result in account suspension or termination.
Confidential Information Exchange
All information submitted to investorLYNX, including messages, will become property of investorLYNX. Any entrepreneur or investor on the investorLYNX site requesting to contact any other entrepreneur or investor on the investorLYNX site, does so at their own risk and is solely responsible for conducting any legal, accounting, or due diligence review. Please do not send any confidential information through investorLYNX. Use of the investorLYNX site should be for initial contact, with the distribution of confidential information exchanged through alternative methods, i.e. secure, encrypted email, courier or mail service.
Use of investorLYNX
Use of investorLYNX must follow the guidelines set forth in this agreement. investorLYNX may refuse or revoke service or other offerings without prior notice to any user or potential user for any reason. Users and members must obey all applicable local, national, and international laws associated with the use of investorLYNX and any affiliated services. Users and members take complete responsibility for all activities that occur under their investorLYNX account with or without their prior knowledge or consent. In the event that a user or member discovers any unauthorized use of their account, they must immediately notify the investorLYNX webmaster so that the proper actions can be taken.
Types of Business Not Supported
investorLYNX does NOT support any business that markets or deals in the following industries: adult or porn, or related adult or porn entities, undertakings or services; multi level marketing of any kind; gambling; home-based businesses. investorLYNX reserves the right to cancel or suspend accounts that appear to be related to these types of business. Additionally, investorLYNX reserves the right to reject any business that while on its face seems legitimate, but upon further review cannot be supported as such.
Member Agreement
investorLYNX users and members agree to NOT to use investorLYNX, or any services provided by investorLYNX or its affiliates to:
Commit ANY unlawful acts;
Post or "spam" other users and members on the system with unsolicited advertising or other communications;
Harm investorLYNX or any related systems and infrastructure in any way, directly or indirectly, and through any means;
Collect or resell data containing other user's and members' profile or personal information or any other information on the investorLYNX;
Harass other users and members or anyone else in any way;
Misrepresent themselves in any way through profile postings or messages sent to investorLYNX or other users and members;
Commit any actions considered to be unethical or to abuse the investorLYNX site or system, other associated services, or users and members;
Attempt to deliberately solicit users or members to leave the investorLYNX in favor of another related or competitive service.
Disciplinary Guidelines
investorLYNX has set in place a listing of disciplinary guidelines for regarding the use of the investorLYNX or any affiliated services. investorLYNX may, but is not obligated to, enforce penalties for breaching these guidelines. Users and members agree that investorLYNX may immediately suspend or terminate any investorLYNX account and all access to investorLYNX and other services without prior notice.
The following violations will lead to the immediate suspension or termination by investorLYNX of a user's or member's account:
- 1. violation of this Terms of Service;
- 2. violation of any applicable laws;
- 3. a user's or member's request to have their profile removed; and
- 4. account inactivity.
Account termination will include, but is NOT limited to the previous items and events listed. investorLYNX account suspension or termination includes the complete stoppage of all use of the investorLYNX site and system, and any affiliated services. All account suspensions or terminations will be made at investorLYNX's discretion. investorLYNX is not liable for any damages associated with the suspension or termination of a user's or member's account.
investorLYNX will not issue any refunds of any kind to users and members who have violated investorLYNX's Terms of Service. Users and members further agree to the terms set forth in the Refund Policy.
Disciplinary Guidelines
By accepting the Terms of Service agreement, you agree that investorLYNX and any persons or entities associated or affiliated with investorLYNX are not responsible for any damages to any party as a result of using the services provided or transacting business with investorLYNX or its affiliates. investorLYNX will screen content that is intended to be posted on the investorLYNX site for any false, misleading, unreliable or other unacceptable material. investorLYNX cannot guarantee that users and members will not find such material on this site. If users or members find or believe false, misleading, unreliable or other unacceptable material has been posted, they should report any such offenses to investorLYNX so that proper action can be taken. investorLYNX reserves the right, but are not obligated, to terminate any accounts that are in violation of this Terms of Service Agreement or any other policies that it maintains. investorLYNX holds no responsibility for ANY damages caused for any reason to users and members of its services or to other parties. Furthermore, investorLYNX is not responsible for malfunctioning features or services that may hinder the use of the investorLYNX site or its offerings or cause damages to any party. investorLYNX will do its best to provide a fully functioning service with complete integrity at all times, but this cannot in any way be guaranteed. investorLYNX will not be held responsible for the actions of other users and members on the network or outside parties that disrupt the normal functioning of the network.
There maybe errors in the information posted on the investorLYNX site. We strongly recommend that users and members seek legal counsel prior to commencement of ANY potential transaction. All materials reviewed on this site are strictly for informational purposes. investorLYNX does not function as a broker-dealer or investment advisor and is not registered as such with any federal or state securities regulator. investorLYNX does not sell or offer to sell any securities and no information contained on this site is intended to constitute or to be interpreted as any such offer. Any investor or entrepreneur on the investorLYNX site requesting to contact any other investor or entrepreneur on the site does so at their own risk and is solely responsible for conducting any legal, accounting, or due diligence review.
User and member activities on investorLYNX do not constitute an offer to sell or the solicitation by investorLYNX of an offer to buy any investment interest in the business ventures of its users. The actual solicitation and purchase of an investment interest in user's business opportunities shall be a private and independent transaction between the users and members without any participation by investorLYNX. If such solicitation and purchase result in an investment, investorLYNX will not and will not be entitled to earn or receive any fees or compensation. In no event will investorLYNX be liable for any loss of earnings or any other commercial damages, including without limitation direct or indirect, special, incidental, or consequential or other indirect damages, losses or expenses arising out of or in correlation with an independent transaction, agreement, or interaction between site users or members.
